Clauses 5 to 8 related to hard copy books and no longer apply.

9. Use of digital platform

Special terms applying for digital content

9.1 This section 9 of these Terms governs the contract between us and you for the provision of digital content via our digital platform.

9.2 We are the provider of digital tax-themed content (“the Digital Content”).

9.3 By purchasing access to the Digital Content you are agreeing to conform to this section of these Terms. Any access to the Digital Content shall be construed as acceptance of these Terms.

Duration

9.4  The subscription period begins on the date on which you sign up and shall last for a minimum period of 12 months (the initial period) and thereafter until cancelled by either Party by giving one month’s notice, with no provision for early termination.

Price and payment

9.5 The price payable shall be the total specified at the outset. All amounts stated are exclusive of VAT, which shall be charged at the rate in force at the date of any due payment.

9.6  Payment for the Digital Content shall be by monthly, quarterly or annual direct debit in advance, except as otherwise agreed between the Parties. You agree to pay the subscription price for the duration of the agreement. We will invoice you the full outstanding amount if you cancel the direct debit early.

9.7 Any payments for Digital Content that are not paid by direct debit shall be due immediately, and shall incur a daily interest charge calculated at 3 percent per annum above the Bank of England base rate in force for the time being, from the due date until full payment is made.

Licence granted

9.8 Copyright in the Digital Content is owned exclusively by us (or by our Authors as the case may be) and nothing in these Terms or in any agreement between you and us changes that. Your use of the Digital Content does not carry any rights to our intellectual property.

9.9 You acknowledge and accept that all intellectual property rights remain vested in us at all times.

9.10 In return for making the agreed payments, you are granted a personal, non-exclusive licence to access and use the Digital Content for the purposes of your usual business activities only.

9.11  You are not permitted to exploit our Digital Content commercially beyond those usual business activities, and you may not seek or accept payment from any third party for access to or use of our Digital Content.

9.12  The licence is granted subject to these Terms, which we may vary from time to time at our discretion.

9.13 Access to the Digital Content is permitted only for you personally and for other authorised users as agreed with us.

9.14 You warrant that you will not engage in or permit any unauthorised use, copying or distribution of the Digital Content.

9.15 You will notify us immediately if you become aware of any infringement or suspected infringement of these Terms.

9.16 You agree to indemnify us against all losses arising from infringement of any third party intellectual property rights or losses arising out of any breach of these Terms.

9.17 You may only copy and store the Digital Content for the reasonable purposes of your usual business activities, and in no circumstances may you or other connected users, whether under this agreement alone or under this agreement together with any other agreement or agreements with us, copy or store in total more than 10% of any given work.

9.18  For the purposes of the preceding clause, connected users include without limitation any director, employee or partner of the company, firm or other organisation for which you work and also any other person who may reasonably be construed as having a personal or business connection with you.

9.19 Our Digital Content may not be used for or in any form of artificial intelligence without our express written permission, and such use will normally be subject to an additional charge.

Confidentiality

9.20 The nature of the agreement between you and us shall be confidential and shall not be disclosed to others except as required by law or by mutual agreement or (as reasonably required) to either party’s professional advisers.

9.21  You acknowledge and accept that we process personal data as required for the purposes of fulfilling our contractual agreements.

Limitation of liability

9.22  Except in the case of death or personal injury caused by our negligence, our liability under this agreement, however arising (whether in contract, tort (including negligence) or otherwise), shall not exceed the annual subscription fee paid to us under the agreement.

9.23 Nothing in this agreement excludes liability of any Party for fraudulent activity or misrepresentation.

Breach of these terms

9.24 We may suspend or terminate your access immediately if you materially breach these Terms. Suspension or termination for breach does not entitle you to a refund of any subscription fees already paid, and any outstanding fees remain payable.

Trial period

9.25 We may offer free or paid access to some or all of our content during a trial period. The use of our Digital Content during such a trial period is restricted by these Terms similarly to any standard subscription. Any copying, storing or distribution of our Digital Content during the trial period is strictly prohibited.
